Pursuant to the Company Law of the People's Republic of China and approval from the local market regulatory authority, our company hereby announces its official renaming to effective on 13 June, 2025. The former company name will cease to be used.
Former Company Full Name: NANNING V-CAN BUSINESS CO., LTD
New Company Full Name: GUANGXI V-CAN INVESTMENT CO., LTD
Key changes are as follows:
I. Business Succession
- Wholly-owned Subsidiary Assumption
All business operations (including pending contracts, assets/liabilities, and intellectual property) of the former company will be assumed by its wholly-owned subsidiary, a related entity under common control.
Subsidiary Full Name: NANNING V-CAN PRISMVERSE TECH CO., LTD
- Continuity of Legal Relationships
Contracts and agreements signed by the former company remain valid, with rights and obligations automatically transferred to the subsidiary without renegotiation.
All licenses (business license, industry permits, etc.) have been updated under the subsidiary’s name to ensure legal compliance
II. Operational Updates
In the future, our company will use the following companies to operate the business at the same time for a certain period of time.

III. Transition Arrangements
- Invoices & Payments: Dual accounts will be operational from 13 JUNE 2025 to 31 AUGUST 2025. Post-transition, use the subsidiary’s account exclusively;
- Dispute Resolution: Disputes arising from this change shall be governed by the original contract’s jurisdiction clauses, adjudicated by courts in the subsidiary’s domicile.

本变更涉及以下重要事项：
一、业务承接主体
- 全资子公司承接
自生效日起，原公司部份业务（含未履行完毕合同、债权债务及知识产权）由全资子公司 南宁创悦者光学科技有限公司 承继，双方为同一实际控制人下的关联企业。
- 法律关系延续
原公司以自身名义签署的合同、协议继续有效，权利义务自动转移至子公司，无需重签文件；
所有资质证书（营业执照、行业许可证等）已同步变更至子公司名下，确保业务合法延续。
